Judge Approves Disthene Settlement in Buckingham Circuit Court

Tuesday, June 11th, 2013

By: Jordan Miles jmiles@wflo.net

A Fairfax County Circuit Court Judge has signed off on a settlement regarding a multimillion-dollar family-owned enterprise in Buckingham County that’s agreed to buy out minority stockholders to settle a long-running legal dispute.

We’ve learned that Disthene will pay about $58 million to buy out the minority stockholders, a court clerk in Buckingham said Monday, paying about $19 million in fees to legal counsel.

The Cavalier Hotel will be sold to Cavalier Associates LLC for about $35 million.

The Disthene Group is a holding company that controls the Dixon family’s assets that includes Kyanite Mining Corporation.

Fairfax County Circuit Court Judge Jane Marum Roush had ordered the company into receivership last September, ruling that mismanagement and oppression of minority stockholders clouded Disthene’s operations for years.

In a statement to the Farmville Herald, Kyanite President Guy Dixon says his family intends to work hard over the next few months to ensure that the settlement is finalized and closed, saying the settlement is in everyone’s best interests. Dixon goes on to say that Kyanite is a great company made wonderful by natural resources and the honest, hard working people on its team.

Dixon Family Statement on Today’s Disthene Settlement

Guy Dixon, President of Kyanite Mining Incorporated, release this statement to The Farmville Herald regarding today’s settlement:

“The Dixon Family is pleased that we have reached a proposed settlement with our main minority shareholders.  We hope that the Court approves this agreement next week, and – if it does – we intend to work hard over the next few months to ensure that the settlement is finalized and closed, as we think it is in everyone’s best interest.

The litigation that has brought us to this point has been unfortunate, costly and distracting, and we look forward to moving on from it and refocusing on the business that has made our company what it is.

For the last seven decades we have been supplying the global economy with the highest quality Kyanite products available anywhere in the world, and we intend to do so for another three quarter’s of a century, at least.  We know we can do this because Kyanite Mining Corporation is a great company – made so by the wonderful natural resource we have here in Buckingham County and by the many generations of dedicated, honest, hard-working people that we have had (and still have) on our team.   With those two things in place, we feel there is much that we can accomplish.”

Friday, May 24th, 2013

By: Jordan Miles jmiles@wflo.net

HOPE Community Services is Farmville may be in serious financial trouble, but they have no intention on closing anytime soon.

WFLO sat down with the organization’s Executive Director Dr. Kitty Smith yesterday morning to talk about the recent loss of the federal weatherization and head start program contracts, and the future of HOPE in the community. “HOPE is in serious trouble. We have creditors, many creditors that we are not able to pay. But we’re doing everything to work out agreements with them. My intention is that every creditor is going to pay, that’s what I would desire,” says Dr. Smith.

HOPE recently lost its contract with the state for weatherization services. “The contract was suspended because payroll taxes were not paid for the months of November and December 2011, and I did not know at the time that the taxes had not been paid…” says Dr. Smith.

Despite losing two major services in recent months, she says the organization’s leadership wants to HOPE remain in the community. “I can say there is no plan at all to close down HOPE. The Board agreed…to keep the agency going.”

Dr. Smith says despite rumors, no criminal activity has taken place. The non-profit, community action agency serves counties in Southside Virginia with housing / placement, emergency, and energy share services.

Hundreds of students at both Hampden-Sydney College and Longwood University became college graduates this weekend.

Retired Admiral Eric T. Olson spoke to the Hampden-Sydney grads on Sunday morning. College registrar Dawn Colgelton talks about the number of graduates. She says about 195 students graduated Sunday, with about 210 participating.

At Longwood, alum Ransford Roherty, who currently has recurring roles in two network television shows, told graduates to follow their dreams. “Far too often in our quest for the prize, we compromise our character, becoming characters who lack character,” said Doherty, referencing Where Excuses Go to Die by John Espinosa Nelson. “During Nelson’s four years in prison, he learned that what was lacking in his core being made him no different from his fellow inmates. He learned that, to be different, he had to make better choices to bring about real change from within.”

Longwood awarded 843 bachelor’s degrees during the Saturday ceremony and 179 master’s during a first-time commencement Friday.

Among the undergraduates was 62-year-old Dorothy Delores Hatchett of Victoria, who first attended Longwood as a nontraditional student from 1984 until leaving in 1987 so she could raise her two sons and put them through college. She re-enrolled in 2010.

Our congratulations to the graduates.
